Scott Kern has represented distribution and franchise businesses in
transactions, financing, litigation and regulatory matters. He has served
as the Chairman of the Franchise Executive Committee of the Connecticut
Bar Association and is a member of the American Bar Association Forum
on Franchising.
His practice focuses
on litigation and arbitration of franchise disputes, consulting with
franchisors on all aspects of their business and corporate organization,
drafting and registering franchise disclosure materials and representing
franchise companies in transactional matters.
Mr. Kern also represents
franchisees in the purchase and establishment of their franchised businesses.

Lorinda’s
practice focuses on complex commercial arbitration and litigation of
franchise disputes, consultation with franchisors on all aspects of
their business and corporate organization, creation of franchise
systems, drafting and registering of franchise disclosure materials,
working with franchise companies in transactional matters, advising and
developing risk avoidance/management programs, and working with
franchise companies to develop creative business solutions to allow
greater communication with franchisees and promote efficient management
of the franchise system. In addition, Lorinda represents franchisees in
the purchase and establishment of their franchised business.
Lorinda gained
broad franchise industry business experience and franchise law
experience during the years that she worked at Doctor’s Associates,
Inc., the franchisor of the Subway franchise system. There, she worked
in Subway’s International Legal Department, working on international
litigation matters, as well as international intellectual property and
transactional matters. Later, Lorinda played a key role in the Subway
general counsel’s Dispute Resolution Group where she was involved in all
aspects of franchise litigation, including extensive arbitration
experience. Lorinda has been involved in all aspects of franchise
litigation. Lorinda has worked closely with auditors to create systems
for dealing with underreporting in franchise systems, has been involved
with transfers, collections, intellectual property, point-of-sale
programs, as well as franchise advertising fund programs.
Years of working
on behalf of franchisors and with franchisees has given Lorinda a broad
background in the practical realities of business development and
dispute resolution in the franchise industry.
Lorinda is a
member of the Franchise Executive Committee of the Connecticut Bar
Association and of the American Bar Association Forum on Franchising.
Education:
After years of
non-legal business experience, Lorinda attended Quinnipiac
University School of Law where she served as an Editor of the
Quinnipiac University Law Review and obtained her law degree,
graduating Magna Cum Laude in 2004.
